Farmmi Proposes to Acquire Brazilian Agricultural Supply Chain Firm

The Nasdaq-listed company has signed a framework agreement to buy 100% of FOUR SEASONS HOLDING GROUP BRAZIL LTDA.

LISHUI, China — Farmmi, Inc. (Nasdaq: FAMI) announced on Aug 5, 2026 that it has signed an acquisition framework agreement with the shareholders of FOUR SEASONS HOLDING GROUP BRAZIL LTDA. to acquire 100% of the equity interests in the target company.

The proposed transaction is intended to further expand Farmmi's business presence in the agricultural supply chain sector in Brazil and globally.

The target company is a limited liability company established under the laws of the Federative Republic of Brazil, with its registered address in Chapecó, Santa Catarina. It is principally engaged in the global agricultural supply chain and trading business, covering soybeans, sugar, chicken, beef and other agricultural products.

According to the statement, the final acquisition price will be determined based on a fair valuation of the target company's equity interests conducted by a qualified independent valuation firm. The consideration is expected to be paid through the issuance of Farmmi Class A ordinary shares, with the number of shares and other terms to be set out in subsequent definitive transaction documents.

Farmmi said that if the transaction is completed, the target company's local operating foundation and agricultural trading capabilities in Brazil are expected to create synergies with its existing business. This would help the company connect the South American agricultural supply side with international markets and enrich the product categories and regional coverage of its global supply chain.

"Brazil plays an important role in the global agricultural trade system. The signing of this framework agreement is an important step for the company in expanding its international agricultural product supply chain network," Farmmi chief executive officer Yefang Zhang said.

He added that the company looked forward to evaluating the potential synergies between the parties in products, channels and markets through professional due diligence, independent valuation and prudent transaction arrangements, "creating new opportunities for the company's long-term development".

Established in 1998, Farmmi is a supplier and retailer of agricultural products, including edible mushrooms such as shiitake and mu er, and also provides logistics and supply chain services in the United States. The company currently has 41,434,077 Class A ordinary shares and 3,873 Class B ordinary shares outstanding.
